End-User License Agreement

IMPORTANT – READ CAREFULLY: This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or an entity, "Licensee") and thalas GmbH i.G., Barckhausstraße 13, 60325 Frankfurt am Main, Germany ("Licensor") for the use of the thalas extract web application and associated Excel Add-in (collectively, the "Software"). By accessing, installing, or using the Software, you agree to be bound by the terms of this Agreement.

1. GRANT OF LICENSE AND USAGE LIMITS

Subject to the terms and conditions of this Agreement, thalas GmbH i.G. grants the Licensee a non-exclusive, non-transferable, limited license to access and use the Software. The Software is provided as a cloud-based service (SaaS) for your internal business purposes.

Monthly Extraction Limit: Unless otherwise agreed in writing or specified in your chosen subscription plan, the use of the Software is limited to a maximum of 100 extractions per calendar month. Any unused extractions do not carry over to the next month.

Term: This license is valid for the duration of your active subscription term.

2. ARTIFICIAL INTELLIGENCE AND DATA EXTRACTION

The Software utilizes artificial intelligence (AI) models to extract data from documents.

Verification Requirement: Due to the probabilistic nature of AI systems, the Licensor does not guarantee that the extracted data will be 100% accurate, complete, or error-free. The Licensee is obligated to independently verify and audit all output generated by the Software before relying upon it for financial analysis, reporting, or decision-making.

Exclusion of AI Training: The Licensor guarantees that the documents uploaded by the Licensee, as well as the data extracted from them, will not be used to train, improve, or fine-tune the Licensor's or any third-party's underlying AI models.

3. SERVER LOCATION AND DATA SECURITY

Data Residency: All processing operations of the Software take place exclusively on servers located within the European Union. The primary server location for data processing and storage is Frankfurt am Main, Germany.

Security: The infrastructure is provided by certified cloud providers that comply with strict security standards (e.g., ISO 27001) and the requirements of the General Data Protection Regulation (GDPR).

4. RIGHTS AND LIMITATIONS

You may not:

  • Reverse engineer, decompile, disassemble, modify, or translate the Software.
  • Create derivative works based on the Software or its AI workflows.
  • Rent, lease, sub-license, or provide commercial hosting services using the Software.
  • Attempt to bypass or manipulate the subscription verification, monthly extraction limits, API limits, or activation processes.

5. COPYRIGHT AND OWNERSHIP

The Software, including its design, algorithms, and documentation, is owned by thalas GmbH i.G. and is protected by copyright laws and international treaties. No title or intellectual property rights are transferred to the Licensee.

6. LIMITATION OF LIABILITY

The Software is provided "AS IS". In no event will thalas GmbH i.G. be liable for any indirect, special, incidental, or consequential damages, including but not limited to lost profits, data loss, financial miscalculations, or business interruption, arising out of the use or inability to use the Software. The total liability of thalas GmbH i.G. for any claim arising under this Agreement shall not exceed the amount paid by the Licensee for the Software in the twelve (12) months preceding the claim.

7. TERMINATION AND APPLICABLE LAW

Termination: Any breach of this Agreement by the Licensee will result in immediate termination of the license rights.

Applicable Law: This Agreement is governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Frankfurt am Main.
